Definitions And Interpretation

INITS ,We, Us, or Our means INITS’ Recruitment Portal. Parties means INITS and Users. Services means collection of curriculum vitaes for the recruitment and deployment of suitable talents to fill vacant placements. You or Your means the User.

By using our site, you are agreeing to comply with and be bound by the following terms of use. Please review the following terms carefully.

If you do not agree to these terms, you should not use this site.

Acceptance of Agreement

You agree to the terms and conditions outlined in this Terms of Use Agreement ("Agreement") with respect to the "Site".

This Agreement constitutes the entire and only agreement between us and you, and supersedes all prior or contemporaneous agreements, representations, warranties and understandings with respect to the Site, or services provided by or through the Site, and the subject matter of this Agreement.

Copyright

The content, organisation, graphics, design, compilation, magnetic translation, digital conversion and other matters related to the Site are protected under applicable copyrights, trademarks and other proprietary (including but not limited to intellectual property) rights.

The copying, redistribution, use or publication by you of any such matters or any part of the Site, except as allowed by clause 4, is strictly prohibited. You do not acquire ownership rights to any content or other materials viewed through the Site.

The posting of information or materials on the Site does not constitute a waiver of any right in such information and materials.

Limited Right To Use

The viewing, printing, or downloading of any form or document from the Site grants you only a limited, nonexclusive licence for use solely by you for your own personal use and not for republication, distribution, assignment, sublicense, sale, preparation of derivative works or other use.

No part of any form or document may be reproduced in any form or incorporated into any information retrieval system, electronic or mechanical, other than for your personal use (but not for resale or redistribution).

Editing, Deleting And Modification

We reserve the right in our sole discretion to edit, delete or modify any documents, information or other content appearing on the Site. The latest Agreement will be posted on the Site, and you should review this Agreement prior to using the Site.

Non-Transferable

Your right to use the Site is not transferable. Any password or right given to you to obtain information is not transferable.

Use Of Information

We reserve the right, and you authorise us, to the use and assignment of all information regarding Site uses by you and all information provided by you in any manner consistent with our Privacy Policy.

All remarks, suggestions, ideas, graphics, or other information communicated by you to us through the Site (collectively, the "Submission") will forever be the property of INITS. INITS will not be required to treat any Submission as confidential, and will not be liable for any ideas for its business (including without limitation, product, service or advertising ideas) and will not incur any liability as a result of any similarities that may appear in future INITS services or operations.

Without limitation, INITS will have exclusive ownership of all present and future existing rights to the Submission of every kind and nature everywhere. INITS will be entitled to use the Submission for any commercial or other purpose whatsoever, without compensation to you or any other person sending the Submission.

You acknowledge that you are responsible for whatever material you submit, and you have full responsibility for the message, including its legality, reliability, appropriateness, originality, and copyright.

Privacy Policy

Our Privacy Policy forms part of this Agreement and is subject to review as the need arises.

Termination

INITS may suspend or terminate your account if we suspect that you have engaged in suspicious or fraudulent activity in connection with use of the Services. Without limiting other remedies, we may issue a warning, suspend or terminate your access and refuse to provide our Services to You if:

• You breach this Agreement; or
• We are required to do so by Law; or
• We believe that your actions may cause financial loss or legal liability for you, our users or to us.

Limitation Of Liability

In no event will INITS be liable for (a) any indirect, special, consequential, punitive, or exemplary damages or (b) any damages whatsoever arising out of or in connection with the site (including, without limitation, use, inability to use, or the results of use of INITS’ services), whether such damages are based on warranty, contract, tort, statute, or any other legal theory.

Indemnity

You agree to defend, indemnify, and hold INITS, its Officers, Directors and Employees, harmless from and against any claims, actions or demands, liabilities and settlements including without limitation, reasonable legal and accounting fees, resulting from, or alleged to result from, your violation of this Agreement.

Severability

If any provision of this Agreement is or becomes in whole or in part, invalid or unenforceable such provision shall be expunged from this agreement and shall not affect the legality, enforceability or validity of the remainder of this Agreement and the expunged provision shall be replaced, to the extent possible with a legal, enforceable, and valid provision that is as similar in tenor to the expunged provision.

Non-Waiver Of Rights

No failure or delay of any Party to exercise any right hereunder shall operate as a waiver thereof, nor shall any single or partial exercise of such right or any abandonment or discontinuance of steps to enforce such a right preclude any other or further exercise thereof, or of any other right, nor shall it in any way affect INITS’ right to enforce such provisions thereafter.

Governing Law

This Agreement is governed by and shall be construed in accordance with the laws of the Federal Republic of Nigeria.
